AGRICTRAIL TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the AgricTrail platform, websites, mobile applications, APIs, and related services (collectively, the “Platform”).

By accessing or using AgricTrail, you agree to be bound by these Terms.

If you do not agree, do not use the Platform.

1. Who We Are

AgricTrail is operated by:

Together with its holding company and affiliates (including but not limited to AgricTrail Africa FZE), referred to as “AgricTrail,” “we,” “our,” or “us.”

2. Eligibility

You may use the Platform if:

• You are at least 18 years old
• You have legal capacity to enter into a binding agreement
• You provide accurate and complete registration information

If you use AgricTrail on behalf of an organization, you represent that you have authority to bind that organization.

3. Description of Services

AgricTrail provides a digital agribusiness infrastructure platform including but not limited to:

• Farmer digital identity (AgricTrail ID / A-ID)
• Budgeting and farm financial tools
• Production tracking
• Credibility Rating Score (CRS)
• Market access tools
• Credit-readiness tools
• Subscription-based premium features
• Donor- or partner-sponsored access programs

AgricTrail does not guarantee:

• Loan approval
• Market prices
• Farm profitability
• Export approvals

We provide digital tools and structured data systems — not financial, legal, or agronomic guarantees.

4. Account Registration & Security

You are responsible for:

• Maintaining confidentiality of your login credentials
• All activity under your account
• Promptly notifying us of unauthorized access

We may suspend or terminate accounts suspected of fraud, misrepresentation, or abuse.

5. Subscriptions & Payments

Certain features require paid subscriptions.

• Subscription fees are billed in advance.
• Payments are processed through third-party payment providers.
• Access to premium features depends solely on an active subscription record in our system.
• Payment confirmation alone does not guarantee entitlement activation until verified.

We may modify subscription pricing with reasonable notice.

6. Donor & Sponsored Access

Some users may receive:

• Discounted plans
• Full plan overrides
• Feature-specific grants

Such access:

• May be time-bound
• May be revoked upon sponsor termination
• Does not create ownership rights over AgricTrail intellectual property

7. Agriculture Passport (A-ID) & CRS

AgricTrail ID (A-ID) and Credibility Rating Score (CRS):

• Are algorithmically generated
• Are based on submitted data
• May change as new data is added
• Do not constitute credit ratings under banking regulations

You are responsible for ensuring data accuracy.

Providing false information may result in:

• Score adjustments
• Account suspension
• Legal reporting where applicable

8. Data Ownership

You retain ownership of:

• Farm data
• Production records
• Uploaded documents

By using the Platform, you grant AgricTrail a non-exclusive license to:

• Process data
• Compute analytics
• Generate CRS
• Provide anonymized aggregated insights

We will never sell personally identifiable data to third parties.

9. Data Sharing & Passport Access

You may share your Agriculture Passport with third parties via:

• Share tokens
• Institutional access

Once shared, AgricTrail is not responsible for how the receiving party uses the information.

You may revoke access where supported by the Platform.

10. Acceptable Use

You agree not to:

• Submit fraudulent farm records
• Manipulate financial data
• Attempt to alter CRS algorithms
• Reverse-engineer the Platform
• Use the system for unlawful purposes
• Upload harmful code

Violation may result in suspension or legal action.

11. Intellectual Property

All platform components including:

• Software
• CRS models
• Algorithms
• Branding
• UI/UX
• Documentation

Are owned by AgricTrail Trade Ltd or licensed to it.

You may not copy, resell, or redistribute the Platform without written permission.

12. Third-Party Integrations

AgricTrail may integrate with:

• Payment providers
• Financial institutions
• Export platforms
• Insurance companies
• Government systems

We are not responsible for third-party service performance.

13. Platform Availability

We strive for high availability but do not guarantee uninterrupted access.

We may:

• Perform maintenance
• Modify features
• Upgrade infrastructure

Without prior notice where necessary.

14. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

We disclaim warranties including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

Use of AgricTrail is at your own risk.

15. Limitation of Liability

To the maximum extent permitted by law, AgricTrail shall not be liable for:

• Indirect damages
• Loss of profits
• Crop failure
• Missed market opportunities
• Financial losses from lending decisions

Our total liability shall not exceed the amount paid by you in the preceding 12 months.

16. Suspension & Termination

We may suspend or terminate accounts for:

• Fraud
• Policy violations
• Regulatory requirements
• Non-payment

You may terminate your account at any time. Certain data may be retained as required by law.

17. Regulatory & Compliance

Users remain responsible for complying with:

• Agricultural regulations
• Export laws
• Tax laws
• Banking regulations

AgricTrail does not act as a licensed financial institution unless explicitly stated.

18. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Disputes shall be resolved in courts located in Lagos State, Nigeria, unless otherwise agreed.

19. Changes to Terms

We may update these Terms periodically. Continued use of the Platform constitutes acceptance of revised Terms.
